The post holder has corporate responsibility for the provision of patient facing services in the areas of complaint management and legal, ensuring the delivery of high-quality services that meet regulatory and best practice requirements.


Role Summary

The post holder will be the principal adviser to the Integrated Care Board members and Chief Officers on the governance of the ICB, responsible for systems of decision taking, risk assurance, compliance, litigation and ICB authorisation and for scrutinising and ensuring compliance with all legal, regulatory and statutory requirements. This will require excellent analysis and judgement of complicated situations in order to provide independent expert advice to the Board on developments and changes in governance requirements requiring excellent communication skills to be able to convey highly complex, often sensitive and contentious information in an effective and persuasive manner.

The post holder will work with a high level of autonomy to lead on the design, effective operation and provision of assurance as to corporate governance controls supporting the safe and effective operation of the ICB. This includes ensuring that meetings of the Board, executive, and committees run efficiently and effectively and are appropriately recorded; ensuring that sound, systematic, transparent and publicly accountable systems and processes of governance are developed and operated by the ICB.

The post holder will have responsibility for bringing together all sources of information on the ICB management of, and response to risks, to ensure that the Board are assured that the level of risk to which the ICB is exposed is consistent with their expressed risk appetite and that the Board and its Committees are assured about the effective operation of controls and mitigations.

The post holder will be responsible for the ICB assurance processes. This will include co-ordinating and reviewing the work of the ICBs Executive Team to ensure that evidence is collected, collated, reviewed and submitted to NHS England to support the ongoing assurance and authorisation of the ICB Working with the Executive Team, the post holder will play a critical and central role in inspections caried out by the Care Quality Commission or other external inspections or investigations.

The post holder will work with Senior Leaders from a range of Partner Organisations across the Coventry and Warwickshire System and across the Integrated Care Systems in the West Midlands to co-design and co-develop the system governance arrangements to support the achievement of long-term strategic plans in an uncertain context. The post holder will have strong relationship and influencing skills to co-produce effective governance arrangements that support the achievement of system priorities and ways of working in a sometimes highly political, contentious, and uncertain environment. This includes providing complex advice and guidance in relation to the developing system governance and commissioning architecture, being a key adviser to the Chairperson, the ICB and Chief Executive Officer and other Chief Officers in relation to system partnership meetings and arrangements, such as the Integrated Care Partnership, Integrated Care System Chairs Meeting, System Non-Executive Director Forum and Executive Team Meeting. The post holder is also responsible for leading the development of System Risk Management arrangements.

Direct and manage the SLA with the Commissioning Support Service for governance and compliance functions including developing reporting arrangements, drafting the specification and agreeing key performance metrics.

This role will have direct line management responsibility for the Corporate Governance team including Corporate Governance Manager, Corporate Governance Officers, Patient Support Adviser, Complaints Officer, Investigations Officer, and Business Support.

We have an exciting opportunity for a governance professional to join NHS Coventry and Warwickshire ICB in the role of Director of Corporate Governance on a 12 month fixed term contract.

  • Deliver Board and Committee Effectiveness, including the Board Development Programme.
  • Act as a source of information and advice for Non-executive and Executive Directors.
  • Facilitate collaboration with system partners through the co-ordination of a range of system forums such as the Integrated Care Partnership.
  • Work with system leaders and peers within the Integrated Care System to plan and develop governance arrangements to support the discharge of ICB responsibilities in a collaborative manner.
  • Ensure compliance with the ICB Constitution, including the procedure for board appointments and the requirements of the Fit and Proper Persons Test.
  • Deliver an effective Board Assurance Framework, ICB risk management and System Risk Management arrangements.
  • Ensure effective arrangements for the management of ICP Policies.
  • Prepare the Annual Governance Statement and Annual Report in accordance with requirements and within mandated timeframes.
  • Lead on the legal and complaints management arrangements, ensuring effective delivery in line with best practice requirements.
  • Lead on the achievement of Information Governance Requirements, including completion of the Data Security Protection Toolkit and associated requirements, including the management of Freedom of Information and Subject Access Requests.
